Company Law — how this chapter is examined

Company Law is Unit 2, Part A (Commercial Law) of the Semester III (Class XII) paper, carrying 10 of the 40 marks. Semester III is a 100% Multiple Choice Question (MCQ) paper — every mark in the real WBCHSE examination for this unit is earned through 1-mark MCQs, not through long descriptive answers.

How this chapter is organised

The MCQs below (grouped under "Multiple Choice Questions") are the content that mirrors your real Semester III paper. This chapter also includes a set of Case Problem questions — realistic fact-pattern scenarios that apply company-law rules to a business situation. These Case Problems are supplementary practice, not part of the 40-mark MCQ paper — the real exam for this unit will not ask you to write a case analysis. They exist here because applying a rule to a fact pattern is the best way to genuinely understand it, even though the exam itself tests you only with MCQs.

This chapter builds on the Companies Act, 2013, India's principal statute governing the formation, management, and regulation of companies. It also connects directly to Unit 3 (Audit Procedure) and the Preliminaries-of-Auditing strand of this syllabus — a company's Auditor, appointed under this very Act, is the person who will later carry out the audit procedures covered later in this semester.

WBCHSE's Commercial Law and Preliminaries of Auditing syllabus draws on the same Indian business-law principles — the Companies Act, 2013 — that are also taught in CBSE/NCERT Business Studies, so the reasoning here transfers directly to those boards' own company-law content.
