A joint stock company is a separate legal entity with perpetual succession, limited liability, an artificial legal personality, transferable shares, and ownership separate from management.

Characteristics of a joint stock company:

  • Separate legal entity: on incorporation the company becomes a legal person distinct from its members, able to own property and sue or be sued in its own name.
  • Perpetual succession: the company has a continuous existence unaffected by the death, insolvency or exit of its members — 'members may come and go, but the company goes on'.
