Forfeiture cancels shares and keeps the money paid; on reissue, any remaining forfeited amount goes to Capital Reserve.

Meaning: Forfeiture of shares is the cancellation of a member's shares by the company because he failed to pay the allotment or call money due. His membership ends and the amount he had already paid is forfeited (retained by the company).

Journal entries:

On forfeiture (shares issued at par):

Share Capital A/c Dr. (number x amount called up)

To Share Forfeiture A/c (amount already received)

To Calls-in-Arrears / relevant Call A/c (amount not received)

(If issued at a premium not yet received, Securities Premium A/c is also debited.)

On reissue of forfeited shares:

Bank A/c Dr. (reissue price received)

Share Forfeiture A/c Dr. (discount allowed on reissue, if any)

To Share Capital A/c (paid-up value credited)

Then transfer the balance (gain) on reissued shares:

Share Forfeiture A/c Dr. To Capital Reserve A/c.
