(1) Meaning of Share Capital (1 mark):
Share capital refers to the amount of capital raised by a company through the issue of shares to investors/the public. It represents the total nominal (face) value of all shares a company is authorised to issue, has issued, or has had subscribed/paid-up, and it forms the owned/equity capital of the company — each shareholder becomes a part-owner of the company to the extent of the shares they hold.
(2) Three purposes for which Securities Premium may be used (3 marks):
As per Section 52 of the Companies Act, 2013, the amount in the Securities Premium Account (a capital reserve, received when shares/debentures are issued at a price higher than their face value) can be applied only for specific purposes, including:
- Issuing fully paid-up bonus shares to the company's existing members.
- Writing off the company's preliminary expenses (expenses incurred at the time of a company's formation/incorporation).
- Writing off the discount, commission, or other expenses incurred on the issue of shares or debentures of the company. (It may also be used to write off the premium payable on redemption of preference shares/debentures, and to fund the buy-back of the company's own shares.)
(3) Six features of Debentures (6 marks):
- A debenture is a document/certificate acknowledging a loan (debt) taken by the company — the holder is a creditor, not an owner, of the company.
- Debentures usually carry a fixed rate of interest, which must be paid by the company regardless of whether it earns a profit or incurs a loss.
- Debenture-holders have no voting rights at the company's general meetings, since they are not members/owners. …
