Over-subscription: applications > shares offered. Under-subscription: applications < shares offered.

Over-subscription: A situation where the number of shares applied for by the public is greater than the number of shares offered by the company for subscription. The company cannot allot more than the offered shares, so it rejects some applications, makes pro-rata allotment, and/or refunds excess money.

Under-subscription: A situation where the number of shares applied for is less than the number of shares offered. Shares can be allotted only up to the number applied for, and allotment is possible only if the minimum subscription is received.
