Securities Premium = amount received above face value; a capital reserve usable only for legally specified purposes such as bonus shares, writing off preliminary/issue expenses, premium on redemption and buy-back.

When a company issues shares (or debentures) at a price higher than their face value, the excess is the premium, credited to the Securities Premium Account. It is a capital profit, shown under 'Reserves and Surplus'. Its use is restricted by the Companies Act to:
