Reserve Capital = uncalled capital callable only on winding up; Capital Reserve = a reserve of capital profits not available for dividend. They are entirely different.

Reserve Capital:

  • It is the part of the uncalled capital that the company has decided (by special resolution) to call up only in the event of and for the purposes of winding up.
  • It is not shown in the Balance Sheet and cannot be called up during the company's normal life.

Capital Reserve:

  • It is a reserve created out of capital profits - such as securities premium, profit on re-issue of forfeited shares, profit on sale of fixed assets, profit prior to incorporation.
