An underwriter guarantees a company's issue of securities (buying any unsubscribed part), assuring the company of its capital, bearing the risk and boosting investor confidence.

Meaning: An underwriter is a specialised financial institution or person (e.g., a bank, financial institution or broker) who enters into an agreement with a company to guarantee the subscription of its issue of shares or debentures. If the public does not fully subscribe the issue, the underwriter undertakes to buy the unsubscribed portion himself, in return for a commission (underwriting commission).
