Capital market is the market for long-term securities; it is controlled mainly by SEBI, by the stock exchanges, by government legislation, and by disclosure and investor-protection measures.

Meaning of Capital Market: The capital market is the market that deals in long-term funds and securities — equity shares, preference shares, debentures and bonds. It channels the savings of individuals and institutions into long-term investment by companies and the government. It has two parts: the primary (new-issue) market, where fresh securities are issued, and the secondary (stock) market, where existing securities are bought and sold.

Measures of Control of the Capital Market:

  1. Regulation by SEBI — The Securities and Exchange Board of India is the chief regulator. It registers and supervises intermediaries (brokers, merchant bankers, mutual funds), frames rules for the issue and trading of securities, prohibits insider trading and fraudulent/unfair trade practices, and protects investors.
  2. Control by Stock Exchanges — Recognised stock exchanges enforce listing conditions and trading rules on companies and members, ensuring orderly and transparent dealings.
  3. Government Legislation — Laws such as the SEBI Act, 1992, the Companies Act and the Securities Contracts (Regulation) Act provide the legal framework for controlling the market.
