Reserve Capital is the part of a company's uncalled capital reserved to be called up only when the company is wound up.

Under Section 65 of the Companies Act, 2013, a company may, by a special resolution, decide that a specified portion of its uncalled share capital shall not be called up except in the event of and for the purposes of the company being wound up. This portion is called Reserve Capital.
