Dissolution of partnership = reconstitution, firm continues; dissolution of firm = business ends and books are closed.

Dissolution of partnership: It refers to a change in the relation of the partners caused by admission, retirement, death, insolvency of a partner or change in profit-sharing ratio. The old agreement ends but the firm's business continues under a reconstituted agreement; the books of account are not closed.

Dissolution of firm: It means the dissolution of partnership among all the partners of the firm (Sec. 39). The business of the firm is completely discontinued – assets are realised, liabilities paid off, accounts of partners settled and the firm ceases to exist. The books of account are closed.

Distinction:
