Dissolution of partnership = reconstitution (firm continues); dissolution of firm = winding-up (firm ends, books closed).

Distinction between dissolution of partnership and dissolution of partnership firm:

  1. Meaning: Dissolution of partnership is a change in the existing relationship among the partners (due to admission, retirement, death, insolvency or change in profit-sharing ratio). Dissolution of firm (Sec. 39) is the dissolution of partnership among all the partners, i.e. the complete closing down of the business.
  2. Continuity of business: On dissolution of partnership the firm continues under a reconstituted agreement; on dissolution of firm the business comes to an end.
  3. Closure of books: Books of account are not closed on dissolution of partnership (only adjustments are made); they are fully closed on dissolution of firm.
  4. Settlement: On dissolution of partnership only the outgoing partner's account is settled; on dissolution of firm all assets are realised, all liabilities paid and every partner's account is finally settled. …
