Keeping them separate is an important exam skill.
Under Section 203, a whole-time Company Secretary is appointed by a company's Board of Directors as Key Managerial Personnel, under a contract of service, to work full-time as an employee of that one company. This person is an insider — present in the company's day-to-day operations, attending Board and shareholder meetings, maintaining statutory registers, and reporting to the Board continuously on compliance under Section 205. The obligation to appoint such a person applies to listed companies and to other companies above the paid-up capital threshold fixed by rule.
Under Section 204, by contrast, a Company Secretary in Practice is a member of ICSI who holds a certificate of practice, entitling that person to offer professional services independently rather than as anyone's employee. A prescribed class of larger companies (identified by rule, generally by reference to paid-up capital and turnover, and applying to a wider set of companies than Section 203's requirement) must engage such a practising Company Secretary, from outside the company, to conduct a secretarial audit and issue a secretarial audit report annexed to the company's Board's report. This audit examines whether the company has, in fact, complied with the various corporate, securities, and other applicable laws over the year — functioning as an independent check on the company's own compliance record, in much the same way a statutory auditor independently checks the company's financial statements rather than relying solely on the internal accounts department's own certification. …
