The Registered Office (Situation) Clause
The Registered Office Clause, required by Section 4(1)(b), states the name of the State in which the company's registered office is to be situated — it fixes the company's domicile, not a full postal address, at the memorandum stage. The full address of the registered office is then furnished separately at the time of, or shortly after, incorporation. The State named in this clause is not a minor administrative detail: it determines which Registrar of Companies has jurisdiction over the company, and, generally, which courts have territorial jurisdiction over legal proceedings involving the company.
Section 12 fills in the operational requirements that follow from this clause. Every company must have a registered office capable of receiving and acknowledging all communications and notices addressed to it, and must furnish verification of that registered office to the Registrar within thirty days of incorporation, in the manner prescribed by the rules. The registered office is, in practice, the company's official address for every purpose the Act contemplates — it is where statutory registers are ordinarily kept and made available for inspection, where notices to the company are validly served, and where the Registrar's own correspondence and inspections are directed.
