A company accepting deposits must comply with conditions under the Companies Act, 2013, such as passing a resolution and issuing an advertisement/circular, keeping deposits within prescribed limits, fixing the tenure between 6 and 36 months, creating a Deposit Repayment Reserve, and repaying with the agreed interest.

Acceptance of deposits is strictly regulated so that public money is not misused. A company must observe the following terms and conditions (any four are enough for a full answer):

  1. Authorisation and advertisement/circular: The company must pass a resolution in a general meeting and, before inviting deposits, issue a circular to members (for member deposits under Section 73) or a newspaper advertisement (for public deposits under Section 76), disclosing its financial position and the terms of the deposit.
  2. Limits on amount: Deposits can be accepted only up to the prescribed percentage of the aggregate of the company's paid-up share capital, free reserves and securities premium account, as laid down in the rules for that class of company.
  3. Tenure/period: A deposit cannot be accepted or renewed for a period of less than 6 months or more than 36 months (a shorter period is allowed only to meet short-term needs, subject to a limit and a minimum of 3 months).
  4. Rate of interest: The rate of interest offered must not exceed the maximum rate prescribed by the Reserve Bank of India for such deposits.
  5. Deposit Repayment Reserve Account: The company must, on or before 30th April each year, deposit at least the prescribed percentage of deposits maturing during the following financial year into a separate scheduled-bank account. …
