Alfa Limited invited applications for 4,00,000 of its equity shares of Rs. 10 each on the following terms:

Applications for 5,00,000 shares were received. Alfa Limited offered 4,00,000 shares of ₹10 and received applications for 5,00,000. After refusing 20,000, allotting 80,000 in full and the balance 3,20,000 pro-rata (5 : 4) to the remaining 4,00,000 applicants, one pro-rata allottee of 400 shares defaulted; the shares were forfeited and reissued at ₹9. The Capital Reserve on reissue is ₹2,100.

Concept and Accounting Treatment

On oversubscription with pro-rata allotment, the excess application money paid by a pro-rata applicant is not refunded — it is adjusted against the allotment due. When such an applicant's shares are forfeited, the whole amount received from him (application on the shares he applied for) sits in the Share Forfeiture Account. On reissue below face value, the discount is charged to that account and the surplus goes to Capital Reserve.

WN1: Allotment pattern and pro-rata ratio

  • Offered 4,00,000; applied 5,00,000.
  • Rejected 20,000 (refunded); allotted 80,000 in full; balance 3,20,000 allotted pro-rata to the remaining 4,00,000 applicants.
  • Pro-rata ratio = 3,20,000 : 4,00,000 = 4 : 5 (4 allotted for every 5 applied).

WN2: The defaulting pro-rata allottee (400 shares)

  • Shares applied for = 400 × 5/4 = 500 shares; application paid = 500 × ₹5 = ₹2,500.
  • Application due on 400 allotted = ₹2,000; the excess ₹500 was adjusted towards allotment.
  • Allotment due = 400 × ₹3 = ₹1,200, less ₹500 excess = ₹700 (unpaid); call due 400 × ₹2 = ₹800 (unpaid).
  • Amount received from him = the whole ₹2,500 application, credited to Share Forfeiture.

WN3: Reissue and Capital Reserve

400 shares reissued at ₹9 (face ₹10) → discount 400 × ₹1 = ₹400 charged to Share Forfeiture.

Capital Reserve = ₹2,500 − ₹400 = ₹2,100.
