Meaning and Definition of a Company Secretary

A company is an artificial legal person. It cannot sign a document, attend a meeting, or correspond with a government department on its own — it acts through human beings. Among the officers who act on behalf of a company, the Company Secretary occupies a unique position: rather than being purely a business/operations officer like a manager, the Company Secretary is chiefly the company's compliance and governance officer — the professional link between the Board of Directors, the shareholders, government and regulatory authorities, and other stakeholders such as creditors and the public.

In everyday usage, a "secretary" is thought of as someone who takes notes and manages correspondence. In company law, a Company Secretary is far more than that — the role is a specialised profession requiring legal, financial, and administrative expertise, chiefly concerned with ensuring that the company observes every statutory and regulatory requirement applicable to it.

Statutory definition — Section 2(24), Companies Act, 2013: "Company Secretary" or "Secretary" means a company secretary as defined in the Company Secretaries Act, 1980, who is appointed by a company to perform the functions of a company secretary under the Companies Act, 2013. This definition is deliberately cross-referential — it borrows the professional identity of "company secretary" from the Company Secretaries Act, 1980 (which governs who may call themselves a Company Secretary), while the Companies Act, 2013 is the law that actually assigns the Company Secretary statutory functions and, for certain companies, makes the appointment mandatory.

A Company Secretary is thus best understood as a person who is (a) professionally qualified under the Company Secretaries Act, 1980, and (b) appointed by a specific company to discharge the statutory duties of a company secretary for that company under the Companies Act, 2013.

One note on scope before proceeding: the Company Secretary is one of the persons the Companies Act, 2013 classifies as a Key Managerial Personnel under Section 203 (alongside the Managing Director/Chief Executive Officer/Manager and the Chief Financial Officer).
