An unpaid seller is one who has not received full payment for the goods sold, and the Sale of Goods Act gives him certain protective rights.

According to the Sale of Goods Act, 1930, a seller of goods is deemed to be an unpaid seller when:

  1. The whole of the price has not been paid or tendered to him, or
  2. A bill of exchange or other negotiable instrument was received as conditional payment and it has been dishonoured.

To protect an unpaid seller, the Act grants him certain rights:

  • Right of lien — to retain possession of the goods until the price is paid.
  • Right of stoppage in transit — to stop the goods while in transit if the buyer becomes insolvent.
  • Right of resale — to resell the goods in certain situations.
  • Right against the buyer personally — such as suing for the price or for damages. …
