Share = ownership/dividend/voting; Debenture = loan/fixed interest/no vote/repaid first.

Differences between a Share and a Debenture (any four):

  1. STATUS - A shareholder is an OWNER (member) of the company; a debenture holder is a CREDITOR (lender).
  2. RETURN - A share earns DIVIDEND, which is variable and paid only out of profits; a debenture earns INTEREST at a fixed rate, payable whether or not there is profit.
  3. VOTING RIGHTS - Equity shareholders have VOTING rights and control the company; debenture holders have NO voting rights.
