Q.Hem and Nem are partners in a firm sharing profits in the ratio of 3:2. Their capitals were ₹80,000 and ₹50,000 respectively. They admitted Sam on Jan. 1, 2017 as a new partner for 1/5 share in the future profits. Sam brought ₹60,000 as his capital. Calculate the value of goodwill of the firm and record necessary journal entries on Sam's admission, if:

(a) Sam brings his share of goodwill
(b) Sam does not bring his share of goodwill

This is a classic CBSE Class 12 Accountancy hidden-goodwill problem. Goodwill is not given, so it is inferred as ₹1,10,000 from Sam's capital and share. Sam's share = ₹22,000, credited to Hem : Nem in their sacrificing (= old) ratio 3:2, i.e. ₹13,200 : ₹8,800. Case (a) routes it through a Premium for Goodwill A/c; case (b) debits Sam's Current A/c instead.

Concept

When a new partner's goodwill is not stated, it is hidden goodwill — inferred from the capital arrangement. The amount a new partner pays as capital reflects the value of the share he receives, so it implies a value for the entire firm. If that implied firm value exceeds the total capital actually standing in the books, the excess must be goodwill that the incoming partner is effectively paying for. The old partners are the ones sacrificing future profit, so the new partner's share of goodwill is credited to them in their sacrificing ratio. Because Hem and Nem's mutual ratio does not change here, their sacrificing ratio equals their old ratio, 3:2.

  • Sam's share = 1/5
  • Total (implied) capital of the firm = ₹60,000 × 5 = ₹3,00,000
  • Actual combined capital = Hem + Nem + Sam = ₹80,000 + ₹50,000 + ₹60,000 = ₹1,90,000
  • Goodwill of the firm = ₹3,00,000 − ₹1,90,000 = ₹1,10,000
  • Sam's share of goodwill = ₹1,10,000 × 1/5 = ₹22,000

Sacrificing ratio (= old ratio 3:2):

  • Hem = ₹22,000 × 3/5 = ₹13,200
  • Nem = ₹22,000 × 2/5 = ₹8,800
