Since many of the Board's most important powers can be exercised only through a resolution passed at a meeting, the law is precise about how often, and under what conditions, Board Meetings must be held.
Under Section 173, every company must hold its first Board Meeting within 30 days of the date of its incorporation, ensuring that the newly appointed directors formally organise the company's affairs without delay. After this, the company must hold a minimum of 4 Board Meetings every calendar year, and — just as importantly — the gap between any two consecutive Board Meetings must not exceed 120 days. This spacing rule matters as much as the minimum count: a company cannot satisfy the law by holding all four meetings in a single busy month and then leaving the Board unconsulted for the rest of the year: oversight has to be spread through the year.
For a Board Meeting to validly transact business, a minimum number of directors must be present — this minimum is called the quorum. Section 174 fixes the quorum for a Board Meeting at one-third of the total strength of the Board, or two directors, whichever is higher. For example, a Board of 9 directors needs a quorum of 3 (one-third of 9), while a small Board of 4 directors still needs a quorum of 2, since two directors is higher than one-third of 4 (which is roughly 1.33, rounded to 2 in practice, but the rule's floor of "two directors, whichever is higher" guarantees business is never transacted by a single director alone).
