Liability of partners in a partnership firm is unlimited.

Under the Indian Partnership Act, 1932, a partnership firm has no separate legal existence distinct from its partners (unlike a company). Because of this, when the firm's own assets are insufficient to pay off outside liabilities, the partners are personally liable to make good the shortfall from their private assets — there is no ceiling on this exposure tied to the amount of capital a partner has contributed. This is the key difference from a company's shareholders, whose liability is limited to their unpaid share capital.
