Four features of partnership: agreement, two or more persons, sharing of profits, and mutual agency.

As defined in Section 4 of the Indian Partnership Act, 1932, "Partnership is the relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all." From this definition, the key features are:

  1. Agreement (not status) — Partnership arises only from an AGREEMENT (oral or written) between the partners; it is never created by status, inheritance, or operation of law (unlike, say, a Hindu Undivided Family business).

  2. Two or more persons — A partnership needs AT LEAST two persons; a single person cannot form a partnership with himself (the maximum is 50 persons as per Companies Act Rules).

  3. Lawful business, with a profit motive — The partners must carry on some LAWFUL business (not charitable/social work), and the objective of forming the partnership must be to earn and share profit.

  4. Sharing of profits — The partners must agree to SHARE the profits of the business in an agreed ratio; however, the agreement to share profit alone is not conclusive proof of partnership.
