Q.Mr. Sen has applied for 4,000 shares of X Ltd. of ₹ 10 each issued at a premium of ₹ 2 each. Mr. Sen paid application money @ ₹ 2 and allotment money @ ₹ 5 (including premium) but failed to pay the balance. Company decided to forfeit such shares and then reissued 3/4th of such shares at 10% discount.
Show the necessary Journal entries of X Ltd. in respect of forfeiture and reissue of shares. Or

(a) Write any two differences between Equity Share and Preference Share.
(b) Distinguish between Reserve Capital and Capital Reserve.

Workings: Face ₹10 + premium ₹2 = ₹12. Application ₹2, Allotment ₹5 (incl. ₹2 premium, so capital ₹3), Call ₹5 (capital). Premium ₹2 was received on allotment. Call ₹5 not paid. Called-up capital = ₹10 per share.

  • Amount received = 4,000 × (2 + 5) = ₹28,000, of which premium ₹8,000; so received towards capital = 4,000 × (2 + 3) = ₹20,000.
  • Call unpaid = 4,000 × 5 = ₹20,000.
  • Forfeiture per share (capital received) = ₹5.
  • Reissue: 3/4 × 4,000 = 3,000 shares at 10% discount = ₹9 each (discount ₹1). Discount used = 3,000 × 1 = ₹3,000.
  • Forfeited money on 3,000 reissued shares = 3,000 × 5 = ₹15,000; to Capital Reserve = 15,000 − 3,000 = ₹12,000. (₹5,000 on the 1,000 un-reissued shares stays in Share Forfeiture A/c.)
