The Memorandum of Association (MOA) is the most important document of a joint stock company — its charter or constitution. It defines the company's name, the state of its registered office, its objects, the liability of members, its authorised capital, and the subscribers' agreement to form the company. A company cannot be formed or act beyond the scope of its MOA.

Meaning

The Memorandum of Association is the fundamental document that governs the external relations of a company. It defines the objects for which the company is formed and the scope of its powers. Any act done beyond the memorandum is said to be ultra vires (beyond powers) and is void. It must be filed with the Registrar of Companies at the time of incorporation. This is a key formation topic in the AP Intermediate 1st-year Commerce syllabus, which follows the NCERT/CBSE commerce curriculum pattern.

Clauses of the Memorandum of Association

  1. Name Clause — states the name of the company. A public company must add the word "Limited" and a private company "Private Limited" at the end of its name. The name must not be identical to an existing company.

  2. Registered Office / Situation Clause — states the name of the State in which the registered office of the company is situated. This fixes the company's domicile and the jurisdiction of the Registrar.

  3. Objects Clause — the most important clause. It states the objects/purposes for which the company is formed, usually divided into main objects and other objects. The company cannot carry on any activity outside this clause.

  4. Liability Clause — states that the liability of the members is limited (by shares or by guarantee) or unlimited. In a limited company, a member is liable only up to the unpaid amount on the shares held.
