1. Secured (Mortgage) Debentures — These are secured by a charge (fixed or floating) over the company's assets. If the company defaults in paying interest or principal, the debenture holders can enforce the security and recover their money by realising the charged assets. This gives them greater safety than unsecured debentures.
2. Convertible Debentures — These carry a right to be converted into equity shares of the company after a specified period and on specified terms. They may be fully convertible (the whole amount converted into shares) or partly convertible (a part converted and the rest repaid). Holders thus start as creditors and can become shareholders.
