Transfer of a debenture: execute a stamped transfer deed, lodge it with the certificate, Board approval, entry in the register, and issue of a new certificate (or DP process in demat form).

Debentures are movable property and are transferable like shares. The procedure is:

  1. The transferor and transferee execute an instrument of transfer (transfer deed) in the prescribed form.
  2. The deed is properly stamped and signed, and lodged with the company along with the debenture certificate (and the transfer is delivered within the prescribed time).
  3. The company scrutinises the documents, and the Board of Directors approves the transfer (subject to any right of refusal in valid cases).
  4. The name of the transferee is entered in the Register of Debenture Holders and that of the transferor removed.
