In a One Person Company the sole member holds the shares (with a nominee); a transfer results in the transferee/nominee becoming the new single member, recorded and intimated to the Registrar.

A One Person Company (OPC) has only one member. The provisions regarding transfer of its shares are:

  • The entire share capital is held by the single member, and a nominee is named who will take over the shares on the member's death or incapacity.
  • The member may transfer his shares to another eligible person by executing an instrument of transfer; on such transfer the transferee becomes the sole member of the OPC.
