Section 164 of the Companies Act, 2013 disqualifies a person from being appointed, or continuing, as a director on several grounds, including (any four of the following are a complete answer):

  1. The person is of unsound mind, as declared by a competent court.
  2. The person is an undischarged insolvent.
  3. The person has been convicted by a court of an offence involving moral turpitude and sentenced to imprisonment for not less than six months, and five years have not elapsed since the sentence ended.
  4. The person has not paid calls on shares held by them, and six months have elapsed from the last date fixed for payment.
