Step 1 — The statutory link. Section 2(24) of the Companies Act, 2013 ties the title 'company secretary' to Section 2(1)(c) of the Company Secretaries Act, 1980, which defines it as a person who is a member of the Institute of Company Secretaries of India (ICSI). No other qualification, however advanced, substitutes for ICSI membership.
Step 2 — ICSI's three-stage academic route.
- Foundation Programme — the entry-level course, generally taken after Std XII (students entering with an eligible graduate degree may enter directly at the Executive stage).
- Executive Programme — the intermediate stage, covering company law, tax law, and related subjects.
- Professional Programme — the final and most advanced stage, covering advanced company law, governance, and secretarial practice.
Step 3 — Practical training. Alongside (and after) the academic programmes, a candidate must complete a prescribed period of practical/management training, generally under a practising Company Secretary or within a company's secretarial department — ensuring the qualification is not purely theoretical.
Step 4 — Enrolment as a member. On successfully completing all three programmes and the practical training, the candidate is enrolled as an Associate Member of ICSI (ACS). This is the point from which the person may legally be appointed to, and described as holding, the office of Company Secretary. After further qualifying years of experience, an Associate Member may later be admitted as a Fellow Member (FCS), ICSI's senior grade.
Step 5 — Why this matters for appointment. Because the title is legally protected, a company cannot appoint any employee — however experienced — to the statutory post of 'Company Secretary' unless that person holds this ICSI membership.
A person becomes eligible for appointment as a Company Secretary by completing ICSI's Foundation, Executive, and Professional Programmes along with the prescribed practical training, and being enrolled as an Associate Member (ACS) — or, with further experience, a Fellow Member (FCS) — of the Institute of Company Secretaries of India.
