A company can redeem (repay) its debentures in lump sum at maturity, gradually in instalments by draw of lots, or by converting them into new shares/debentures — the method is fixed by the terms of issue.

'Redemption of debentures' means discharging the liability on account of debentures by repaying the amount due to the debenture-holders, as per the terms agreed at the time of issue. Companies commonly use the following methods:

  1. Redemption in Lump Sum (payment in a single instalment): The company repays the ENTIRE amount of debentures in one go, either on a fixed maturity date specified at the time of issue, or at any time the company chooses, generally out of profits (through a Debenture Redemption Reserve) and/or fresh funds.

  2. Redemption in Instalments (by draw of lots): Instead of repaying all debentures at once, the company redeems only a portion of the total debentures every year, over a period of years, as per the terms of issue. The specific debentures to be redeemed each year are usually selected by a draw of lots (like a lottery), ensuring fairness among holders — this spreads the cash outflow over several years instead of a single lump payment.
