A share is a unit of ownership in a company; shares are mainly of two kinds — Equity and Preference.

Meaning of 'Share': A share is the smallest unit into which the total share capital of a company is divided. Each share represents a fractional part of ownership in the company, and its holder (shareholder) becomes a part-owner of the company to the extent of the shares held, entitled to a proportionate share of dividends declared, voting rights at general meetings (ordinarily), and a proportionate share of the company's assets in the event of winding up, after all liabilities (including preference shareholders, where applicable) have been settled.

Kinds of shares, as recognised under Section 43 of the Companies Act, 2013:

  1. Equity Shares: These are shares that are NOT preference shares. Equity shareholders bear the main risk and reward of the business — they get dividend only after preference shareholders have been paid, and the rate of dividend is not fixed (it depends on profits and the Board's decision), but they generally enjoy full voting rights and the main upside if the company does well. Equity shares may carry differential rights as to dividend, voting, or otherwise, in accordance with the rules prescribed. …
