Concept

When money is fully payable on application and shares are over-subscribed, the amount on shares actually allotted is transferred to Share Capital (face value) and Securities Premium (premium); the balance is refunded because no later call exists to absorb it. When a company purchases a running business, it debits the assets, credits the liabilities and the vendor with the purchase consideration; any excess of net assets over PC is a Capital Reserve (a capital-profit bargain gain). Debentures issued at a premium in settlement carry the premium to Securities Premium.
