Q.On 1st April, 2022, Zubian Ltd. issued ₹10,00,000, 7% Debentures of ₹100 each at a premium of 6%, redeemable at a premium of 4% after five years. The company had a balance of ₹30,000 in Securities Premium Account.

(a) Pass necessary journal entries for issue of debentures and for writing off 'Loss on Issue of Debentures' utilising Securities Premium Account at the end of the first year itself.

Zubian Ltd. records a Loss on Issue of Debentures of ₹40,000 (the premium payable on redemption). Concept: Premium on Issue vs. Premium on Redemption

When debentures are issued at a premium, the company receives more than face value; this premium is a capital receipt credited to the Securities Premium Account. When debentures are redeemable at a premium, the company is committed to pay more than face value at maturity; this future extra payment is the Loss on Issue of Debentures, recognised upfront by debiting Loss on Issue of Debentures A/c and crediting Premium on Redemption of Debentures A/c (a liability).

Section 52 of the Companies Act, 2013 permits the Securities Premium Account to be used to write off the loss on issue of debentures. The full balance of Securities Premium available at the time of write-off may be used — here that includes both the ₹30,000 opening balance and the ₹60,000 premium arising on this very issue.

Working Notes

WN 1 — Amounts on issue (10,000 debentures of ₹100): Issue premium = 6% of ₹10,00,000 = ₹60,000; amount received = ₹10,60,000.

WN 2 — Loss on issue: Premium on redemption = 4% of ₹10,00,000 = ₹40,000. This is the Loss on Issue of Debentures.

WN 3 — Writing off the loss: Securities Premium available = ₹30,000 (opening) + ₹60,000 (this issue) = ₹90,000. Loss ₹40,000 < ₹90,000, so the entire ₹40,000 is written off from Securities Premium. Nothing is charged to the Statement of Profit and Loss.
