The Registered Office Clause, required by Section 4(1)(b) of the Companies Act, 2013, states the name of the State in which the company's registered office is to be situated. At the memorandum stage, only the State needs to be named — the full postal address of the office itself is furnished separately, at or shortly after incorporation. Although this may look like a minor administrative detail, the State named in this clause carries real legal weight: it determines which Registrar of Companies exercises jurisdiction over the company for every filing and compliance the Act requires, and it generally determines which courts have territorial jurisdiction over legal proceedings the company is involved in.

Section 12 of the Act supplies the substantive requirements that follow from this clause. Every company must, within thirty days of its incorporation, have a registered office capable of receiving and acknowledging all communications and notices addressed to it, and must furnish verification of that registered office to the Registrar in the manner and form the rules prescribe. In practice, the registered office becomes the company's single official point of contact for statutory purposes — it is where the company's statutory registers (such as the register of members and the register of directors) are ordinarily kept and made available for inspection, and it is the address at which notices to the company, including from regulators and courts, are validly served. …
