Section 13(8) of the Companies Act, 2013 addresses a specific and important situation: a company that has raised money from the general public by issuing a prospectus, for a stated purpose recorded in its Objects Clause, later wishing to change that purpose while some of the money raised has not yet actually been spent on it. Ordinarily, altering the Objects Clause requires only a special resolution and registration with the Registrar, as Section 13's general procedure lays down. Section 13(8) adds a further, investor-protective requirement specifically for this situation.

Where any part of the money raised through the prospectus remains unutilised, the company must, in addition to passing the special resolution, provide an opportunity for shareholders who dissent from the proposed change of objects to exit the company, in accordance with the regulations framed for this purpose. The underlying rationale is straightforward: members of the public who bought shares through the prospectus did so on the faith of the stated objects — the specific use the company promised to make of their money. If the company could freely redirect unspent proceeds to a different purpose merely by a special resolution of the majority, an investor who joined the company specifically for the original purpose would be left without a real remedy, forced to remain financially committed to a purpose they never actually invested in.
