Meaning of a Board Meeting

A Board Meeting is a formal gathering of the Directors of a company, called to discuss and decide matters relating to the management and administration of the company's business. Unlike a general meeting (which belongs to the members/shareholders), a Board Meeting belongs to the Directors alone — it is where day-to-day and strategic management decisions (appointing officers, approving accounts, declaring an interim dividend, allotting shares, and so on) are actually taken. Section 173 of the Companies Act, 2013 lays down the statutory framework for how often a company must meet, and how notice of a Board Meeting must be given.

Frequency of Board Meetings — Section 173(1)

Every company must hold a minimum of four Board Meetings every calendar year, arranged so that not more than 120 days elapse between two consecutive Board Meetings. This is a floor, not a ceiling — a company is always free to meet more often than four times a year if its business requires it; what the law forbids is going for more than 120 days without a Board Meeting, or holding fewer than four in a year.

Relaxation for smaller companies — Section 173(5): A One Person Company (OPC), a small company, and a dormant company are not bound by the four-meetings/120-day rule. It is sufficient for such a company to hold at least one Board Meeting in each half of the calendar year, provided the gap between the two meetings is not less than 90 days. (A private company that also qualifies as a start-up gets the same relaxation.)

The First Board Meeting

The very first Board Meeting of a newly incorporated company must be held within 30 days of the date of incorporation (Section 173(1)). This is deliberately early: the first meeting is typically where the Board formally notes the company's incorporation documents, appoints the first statutory auditor (if not already appointed by the subscribers), adopts a common seal (where used) and letterheads, and takes charge of the company's affairs from the promoters.
