It must contain the company details, shareholder details, share details (number, distinctive numbers, class, value paid) and be signed and sealed as required by the Companies Act, 2013.
A share certificate is a document issued by a company under its common seal, which certifies that the person named in it is the registered owner of the specified shares. It is prima facie evidence of the shareholder's title to the shares and must be issued within two months of allotment. To be valid it should carry all the details required by law and the company's rules.
