Retirement of a partner requires adjustment of the profit-sharing/gaining ratio, goodwill, revaluation of assets and liabilities, accumulated reserves, the retiring partner's profit share till retirement, continuing partners' capitals, and settlement of the amount due.

When a partner retires, several matters need to be settled before the reconstituted firm can continue:

  1. Calculation of new profit-sharing ratio and gaining ratio of the continuing partners — the retiring partner's share is distributed among the remaining partners, usually in their gaining ratio.
  2. Treatment of Goodwill — the retiring partner is compensated for his/her share of the firm's goodwill by the continuing (gaining) partners, in the gaining ratio.
  3. Revaluation of assets and reassessment of liabilities — a Revaluation Account is prepared so that any profit or loss on revaluation up to the date of retirement is shared by all partners (including the retiring one) in the old ratio.
  4. Adjustment of accumulated profits, reserves and losses already appearing in the books (General Reserve, Workmen Compensation Reserve, P&L balance, etc.) — distributed among all partners in the old ratio.
  5. Ascertainment of the retiring partner's share of profit (or loss) for the period from the last Balance Sheet date up to the date of retirement, usually on a time basis or sales basis, as the Deed provides.
  6. Adjustment of continuing partners' capital accounts, if the partners decide that their capitals should be in proportion to the new profit-sharing ratio.
  7. Settlement of the amount due to the retiring partner — paid in full immediately, in instalments, or transferred to his/her Loan Account, as agreed. …
