Public enterprises in India take three broad forms:
1. Departmental Undertaking. Run directly as a department of Government, financed entirely through the Government budget, staffed by civil servants, and audited by the Comptroller and Auditor General, exactly like any other government department. It is not a separate legal entity and has the least operating autonomy of the three, since it must follow standard government financial and service rules. Example: Indian Railways.
2. Statutory Corporation. Created by a special Act of Parliament or a State Legislature, which itself defines its powers, objectives and capital structure. It is a separate legal entity, able to own property and sue/be sued in its own name, financed wholly or mainly by Government, but managing day-to-day affairs with considerable autonomy compared to a departmental undertaking. Example: Life Insurance Corporation of India.
3. Government Company. Registered under the Companies Act, 2013, exactly like a private company, with not less than 51% of paid-up share capital held by the Government (Centre/State, singly or jointly). It has its own Board of Directors and enjoys the greatest operating autonomy of the three forms, being governed primarily by company law rather than a special statute. Example: BHEL.
