Private Placement of Shares is a method of raising capital in which a company offers and allots its securities to a pre-selected group of identified investors rather than to the public at large. It is governed by Section 42 of the Companies Act, 2013: the offer is made through a private placement offer letter (PAS-4), to not more than the prescribed number of persons in a financial year, and the money must be received through banking channels (not cash).
