Applications were received for 58,000 shares. All calls were made and were duly received except the final call of ₹ 3 per share on 2,000 shares. These shares were forfeited. Once the 2,000 shares are forfeited they are cancelled — no longer "not fully paid". The remaining 56,000 shares are fully paid (₹5,60,000) and the ₹14,000 already received on the 2,000 forfeited shares (₹7 each) is added back through the Forfeited Shares Account. Total Share Capital shown in the Balance Sheet = ₹5,74,000.

Concept and Accounting Treatment

Under Schedule III, Part I of the Companies Act, 2013, Share Capital is disclosed under Shareholders' Funds, with the full break-up (Authorised, Issued, Subscribed) given in the Notes to Accounts.

When a call remains unpaid and the shares are forfeited, those shares stop being part of the "subscribed but not fully paid" capital — the company has cancelled them. What the company keeps is the money already received on them (everything except the unpaid call). That retained amount is carried to a Forfeited Shares Account (Share Forfeiture Account), which is added to the subscribed capital inside the Share Capital note — it is not shown under Reserves and Surplus.

Sequence of events for Sunstar Ltd.:

  • Issued: 60,000 shares of ₹10 each.
  • Applications received for 58,000 shares only (under-subscription) → all 58,000 allotted.
  • All calls (including the final call of ₹3) were made. The final call was received on 56,000 shares but not on 2,000 shares.
