Section 2(62) of the Companies Act, 2013 defines a One Person Company as "a company which has only one person as a member". Section 3(1)(c) further permits a single person to form such a company for any lawful purpose, provided that person also nominates another person (with that person's written consent) who will become the member of the OPC in the event of the original member's death or incapacity to contract. Because the OPC form was created specifically to let a single entrepreneur access the benefits of a separate legal entity and limited liability — benefits that were previously available only to companies with two or more members — the number of members can never be more than one; it does not merely mean "a company with a small number of members", it means exactly one.
