It defines the company's name, the State in which its registered office is situated, the objects (purposes) for which the company is formed, the nature of members' liability (limited or unlimited), and the amount of share capital with which the company is to be registered, along with the subscription details of its first members. Because the Object Clause of the Memorandum fixes the outer boundary of what the company is legally permitted to do, any act carried out beyond that scope is "ultra vires" the company and is not binding on it.
