Concept

When a company purchases a business, it records the assets and liabilities taken over and credits the vendor with the purchase consideration; the excess of consideration over net assets is Goodwill. The consideration is then discharged by cash and by issuing debentures. Debentures are always credited at face value: a premium is credited to Securities Premium, a discount is debited to Discount on Issue of Debentures. Number of debentures = balance consideration ÷ issue price.
