Minutes of Meetings, dealt with under Section 118 of the Companies Act, 2013, are the official written record of the proceedings that took place at a meeting — whether a general meeting (AGM or EGM) or a Board Meeting. The minutes typically record the names of those present, a fair and correct summary of the matters discussed, and, most importantly, the exact resolutions passed at the meeting.

The Act requires that these minutes be entered into the company's minutes book within 30 days of the conclusion of the meeting to which they relate. Once the minutes have been duly recorded and signed (ordinarily by the Chairman of the meeting), they serve as legal evidence of the proceedings that actually took place and of what was validly decided. …
